Terms & Conditions — FDB Business

1. Scope of Services

FDB Business may provide services including, but not limited to:

Online entrepreneurship and business education programs.
Recorded and live educational classes.
Printed or digital books and learning materials.
Business Clinic consultations.
Business workshops and seminars.
Mentorship and business guidance.
Business planning and strategy support.
Marketing, finance, operations, and compliance education.
Funding-readiness guidance.
Investor or funding opportunity introductions, where applicable.
Entrepreneurship communities and networking opportunities.
Internship and mentorship initiatives.
Business partner, channel partner, and franchise programs.
Events, competitions, assessments, and certification programs.
Other business-related services introduced by FDB Business from time to time.

2. Eligibility

You must be legally competent to enter into a contract under applicable Indian law to independently purchase or enter into contractual services with FDB Business.

Individuals below 18 years of age may use eligible educational services only with the knowledge and consent of their parent or lawful guardian, wherever required. The parent or guardian shall be responsible for the minor’s use of the platform and compliance with these Terms.

Certain programs, funding opportunities, partnerships, or franchise services may have additional eligibility requirements.

3. User Registration and Account

Users may be required to create an account to access certain FDB services. You agree to:

Provide accurate, complete, and current information.
Maintain the confidentiality of your login credentials.
Not share your account with another person.
Immediately inform FDB of suspected unauthorized use.
Keep your contact information updated.
Use only one account unless otherwise permitted.
You are responsible for activities conducted through your account, except where caused by a security failure attributable to FDB.
FDB may verify the identity, contact details, or other information of users where reasonably required to provide a service, prevent misuse, or comply with applicable law.

4. Course Enrolment

Course enrolment is confirmed only after:

Successful completion of registration.
Payment of the applicable course fee or approved instalment.
Confirmation of admission by FDB Business.
Admission to one program does not automatically provide access to any other FDB product or service unless specifically mentioned in the program description.
Program structure, modules, faculty, schedules, assignments, and delivery methodology may be reasonably modified where required to improve the program or due to operational circumstances, provided the essential nature of the purchased service is not materially reduced.

5. Weekend Live Classes and Recordings

An enrolled course may include scheduled weekend live classes in English, Hindi, or a bilingual format. Schedules, assigned mentors, and planned durations may change when reasonably necessary, and registered learners will receive available service notifications.

Live classes are recorded for educational playback. Audience viewing alone does not place the learner in the interactive recording room. A learner who accepts an invitation to speak on stage must complete the displayed device and recording notice before connecting.

Accounts and live-class sessions must not be shared. Opening the same class on another device may end the earlier session.
Users must not attempt to download, redistribute, screen-capture for publication, sell, or bypass access controls applied to a private live stream or recording.
Chat, polls, and stage participation must remain lawful, respectful, and relevant. FDB may throttle messages, mute tracks, remove participants, retain moderation evidence, or end a session to protect learners and service integrity.
Camera use by promoted learners is optional and off by default. Students are not permitted to screen-share unless FDB expressly changes the session policy.
Recordings may become unavailable after the stated retention period, following a valid privacy request, or because of a technical or legal requirement.
Live delivery depends on the learner’s supported browser, device permissions, and internet connection. Reasonable reconnect and fallback mechanisms are provided, but uninterrupted delivery cannot be guaranteed.

6. Fees and Payments

All prices shall be displayed or communicated before purchase, subject to applicable taxes and charges.

Payments may be processed through authorized payment gateways, banking channels, UPI, cards, or other approved payment methods. Users are responsible for providing correct billing information.

FDB Business does not ordinarily store complete card or banking credentials where transactions are processed by independent payment service providers.

Where EMI or financing facilities are provided by third-party financial institutions or payment providers, their separate terms, interest charges, eligibility criteria, and policies shall apply. FDB is not responsible for approval or rejection of third-party financing facilities.

7. Taxes

Prices may be inclusive or exclusive of GST or other applicable taxes as specifically stated at the time of purchase.

The applicable invoice or receipt will be issued in accordance with applicable tax requirements and the information supplied by the customer. Users requiring GST invoices must provide correct GST and billing details within the applicable timeframe.

8. Refund and Cancellation

Refunds, cancellations, substitutions, and transfers shall be governed by the Company’s separately published Refund & Cancellation Policy, which forms an integral part of these Terms.

Users are advised to review the Refund & Cancellation Policy before making payment. Nothing in these Terms is intended to restrict any non-waivable statutory rights available to a consumer under applicable law.

9. Online Course Access

Course access may be provided for the duration communicated at the time of enrolment. Unless expressly permitted in writing, users shall not:

Share their LMS username or password.
Allow another person to attend or complete a course using their account.
Record protected course sessions.
Download content where downloading is disabled.
Copy, reproduce, or redistribute educational material.
Sell or commercially exploit course material.
Upload FDB content to YouTube, Telegram, WhatsApp, social media, websites, or file-sharing platforms.
Attempt to bypass platform security or digital-rights controls.
Unauthorized sharing may result in suspension or termination of access and may expose the user to remedies available under applicable law.

10. Intellectual Property Rights

Unless otherwise expressly stated, all proprietary FDB materials are owned by or lawfully licensed to FDB Business, including:

Course videos, books, PDFs, presentations, frameworks, worksheets, assessments, business templates, and Business Prescription formats.
Graphics, logos, trademarks, website design, software, audio material, marketing material, and other original educational content.
Purchase of a course or service provides the customer only a limited, personal, non-exclusive, and non-transferable right to use the relevant material for the permitted purpose.
Purchase does not transfer ownership or intellectual-property rights to the customer.

11. Business Clinic Services

FDB Business Clinic services are intended to provide business education, analysis, mentorship, and practical guidance based on information supplied by the customer. Recommendations may relate to:

Business planning, marketing, and customer acquisition.
Financial understanding and operations.
Branding, sales, business expansion, and funding readiness.
Business recommendations involve judgment and are not guarantees of commercial success. The customer remains responsible for evaluating and implementing any business decision.

12. Workshops and Events

Workshop or event registration is valid only for the registered participant unless transfer is expressly permitted.

FDB may reasonably change the venue, speaker, mentor, session timing, delivery mode, or program schedule where required due to operational circumstances.

Where FDB cancels an event without providing a reasonable alternative, refunds or credits shall be handled according to the applicable Refund & Cancellation Policy and applicable law.

13. Educational Purpose Disclaimer

FDB Business provides entrepreneurship and business education, mentorship, and support. FDB does not guarantee that participation in any program will result in:

Starting a successful business, generating a particular amount of revenue, profitability, or business growth.
Employment or placement.
Investment, loan approval, franchise success, government approval, or any particular financial result.
Business outcomes depend upon numerous factors including the participant’s effort, skills, market conditions, resources, implementation, business model, and third-party decisions.
Testimonials, case studies, and success stories represent individual experiences and should not be interpreted as guaranteed outcomes.

14. Funding and Investment Support

FDB Business may provide educational support relating to funding readiness, pitch decks, financial planning, investor presentations, business documentation, fundraising strategy, and introductions to potential investors, lenders, institutions, or funding platforms.

Such services do not constitute a guarantee of funding. FDB Business shall not be considered to have approved, sanctioned, or guaranteed any loan or investment merely because a user has completed an FDB program.

Any investment, loan, grant, or funding decision is made independently by the relevant investor, lender, institution, or third party according to its own eligibility criteria and due-diligence process.

Unless specifically disclosed and legally authorized for a particular regulated activity, FDB Business does not act as a bank, NBFC, stock broker, investment adviser, portfolio manager, or collective investment scheme.

Users should obtain independent financial, tax, and legal advice before entering into significant financial or investment transactions.

15. No Guaranteed Income or Business Returns

FDB Business does not offer or promote any scheme promising fixed, assured, quick, or guaranteed income merely for joining FDB, purchasing a course, becoming a member, or recruiting other persons.

Where referral, partner, or sales incentives are separately offered, such incentives shall be governed by the applicable written program terms and legitimate sale or performance conditions.

No participant is authorized to make unauthorized income guarantees or misleading representations on behalf of FDB Business.

16. Partner and Franchise Program

Participation in any FDB Partner, Channel Partner, Business Partner, or Franchise Program shall require acceptance or execution of the applicable separate agreement. Unless specifically stated in a signed written agreement:

Registration does not grant territorial exclusivity.
No person may represent themselves as an employee or legal agent of FDB.
Partners cannot make commitments on behalf of FDB.
Partners cannot collect unauthorized payments.
Partners cannot modify FDB pricing without approval.
Partners cannot provide false income or business guarantees.
Partners must comply with FDB branding, operating, and compliance requirements.
In the event of a conflict concerning a franchise or partner relationship, the duly executed Partner/Franchise Agreement shall prevail for matters specifically governed by that agreement.

17. Third-Party Services

FDB may integrate or link with third-party providers including payment gateways, video platforms, CRM systems, cloud providers, logistics companies, communication providers, banks, financial institutions, investors, mentors, franchise partners, and other technology or professional service providers.

Such third parties may have independent terms and policies. FDB is not responsible for acts or omissions of independent third parties except to the extent responsibility is imposed on FDB under applicable law.

18. User Conduct

Users must not use FDB’s platform or services to:

Commit fraud or misrepresent identity.
Upload illegal or harmful material.
Harass staff, mentors, or participants.
Infringe intellectual-property rights.
Introduce malware or malicious code.
Attempt unauthorized access.
Manipulate assessments or certifications.
Conduct unauthorized commercial solicitation.
Impersonate FDB or make false representations regarding FDB services.
Engage in unlawful activity or damage the integrity or security of the platform.
FDB may take proportionate action, including warning, suspension, or termination, where serious or repeated violations occur.

19. Certificates

Where a course includes certification, certificates may be subject to conditions such as:

Required attendance and completion of modules.
Assignment submission and assessment completion.
Payment of applicable fees.
Compliance with academic or program rules.
An FDB course certificate is an educational or program-completion credential and should not be represented as a government degree, university degree, professional licence, or statutory qualification unless expressly accredited or recognized as such by the competent authority.

20. User-Generated Content

Where users submit business ideas, questions, reviews, testimonials, assignments, comments, or community posts, the user remains responsible for ensuring that the material is lawful and does not violate third-party rights.

Submission of confidential business information should be undertaken carefully. FDB will handle personal information according to its Privacy Policy, but users should not disclose trade secrets or highly confidential commercial information in public community areas.

FDB will seek appropriate permission where a user’s identifiable testimonial, photograph, video, or business story is proposed for promotional use where consent is legally required.

21. Privacy and Personal Data

FDB may process personal information required to register users, deliver services, process payments, provide customer support, communicate service updates, maintain platform security, manage certificates, comply with legal obligations, and perform other purposes described in the Privacy Policy.

Processing of personal data shall be governed by FDB’s Privacy Policy and applicable law. Users should review the Privacy Policy before providing personal data.

22. Communication Consent

Users may receive transactional or service-related communications relating to registration, payments, classes, course updates, events, appointments, account security, support requests, and other services requested by the user.

Promotional communications shall be handled subject to applicable law, user preferences, and available opt-out mechanisms. Users must maintain valid contact information where communications are necessary for delivery of the purchased service.

23. Platform Availability

FDB aims to provide reliable access to its digital services, but uninterrupted or error-free operation cannot be guaranteed.

Access may temporarily be affected by maintenance, hosting issues, internet failures, cyber incidents, software updates, third-party service interruptions, force majeure events, or other circumstances beyond reasonable control.

Where a material interruption affects a paid service, FDB may take reasonable corrective measures including restoration, extension, rescheduling, or another appropriate remedy depending on the circumstances.

24. Suspension and Termination

FDB may suspend or terminate access where reasonably necessary because of fraud, payment reversal or payment fraud, material breach of these Terms, unauthorized account sharing, intellectual-property infringement, platform abuse, illegal activity, serious misconduct, or security threats.

Where appropriate, FDB may provide notice and an opportunity to cure a breach before termination. Any refund entitlement following termination shall depend upon the reason for termination, the applicable Refund Policy, and mandatory legal rights.

25. Limitation of Liability

To the maximum extent permitted by applicable law, FDB Business shall not be liable for indirect, incidental, special, or consequential losses arising solely from business decisions independently made by a user based upon educational content or general business guidance.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability arising from fraud, wilful misconduct, or non-waivable consumer rights.

26. Indemnity

To the extent permitted by applicable law, users agree to be responsible for losses, claims, or expenses reasonably arising from their:

Unlawful use of FDB services.
Deliberate infringement of third-party rights.
Unauthorized commercial use of FDB intellectual property.
Fraudulent activity or material breach of these Terms.
This provision shall be interpreted subject to applicable consumer and contract law.

27. Force Majeure

FDB shall not be responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil disturbance, epidemic or pandemic restrictions, government orders, major telecommunications failures, power failures, cyber incidents affecting external infrastructure, or similar circumstances.

FDB will make reasonable efforts to minimize disruption and resume affected services.

28. Grievance Redressal

Customers may raise complaints regarding FDB services by emailing hello@fdbbusiness.com or through the website contact form. A designated grievance contact and postal address may be published separately when available.

The customer should provide relevant information including their registered contact details, order or transaction number, and a description of the issue to enable efficient resolution.

FDB shall process grievances in accordance with applicable law and its internal grievance procedures.

29. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.

Nothing in these Terms is intended to deprive a consumer of any jurisdiction, remedy, or protection that cannot lawfully be waived under applicable consumer-protection law.

30. Dispute Resolution

FDB encourages users to first contact the Company’s grievance contact and attempt an amicable resolution.

For disputes that are legally capable of settlement through arbitration, and which remain unresolved after reasonable attempts at settlement, the parties may refer the dispute to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time, where an enforceable arbitration agreement applies.

The arbitration shall ordinarily be conducted by a sole arbitrator mutually appointed by the parties. The seat and venue shall be Jaipur, Rajasthan, or the Company’s registered-office city as specified in the applicable agreement. The language shall be English and/or Hindi as agreed.

Nothing in this clause shall prevent a consumer from exercising any statutory remedy or approaching a competent consumer commission, court, or authority where such right is available under applicable law.

31. Jurisdiction

Subject to applicable mandatory consumer-protection law and the dispute-resolution provisions above, competent courts at the Company’s registered-office city and state shall have jurisdiction over disputes arising from these Terms where such jurisdiction can lawfully be agreed.

32. Changes to Services

FDB may introduce, modify, or discontinue features or programs from time to time.

For an already purchased paid service, any material change shall be handled reasonably and in accordance with the applicable service commitment and law.

33. Changes to These Terms

FDB may revise these Terms to reflect changes in law, new services, security requirements, operational changes, or business requirements.

The latest version will be published with an updated “Last Updated” date. Where a material change affects an ongoing contractual service, appropriate notice will be provided where required.

34. Severability

If any provision of these Terms is held invalid or unenforceable by a competent authority, the remaining provisions shall continue to apply to the extent legally permissible.

35. No Waiver

Failure by FDB to immediately enforce any provision shall not automatically constitute a permanent waiver of that provision or any other right.

36. Entire Agreement

These Terms, together with the applicable Privacy Policy, Refund & Cancellation Policy, course-specific terms, Partner or Franchise Agreement, written service agreement, and other policies expressly incorporated into a transaction constitute the applicable contractual framework between FDB Business and the user in relation to the relevant service.

Where a separately signed written agreement contains specific terms inconsistent with these general Terms, that written agreement shall prevail for the subject matter it specifically governs.

37. Acceptance

By clicking “I Agree”, “Register”, “Enroll Now”, “Buy Now”, “Make Payment”, or any similar acceptance mechanism, or by completing a purchase or using the relevant service after being presented with these Terms, you acknowledge that you have read and agreed to the applicable Terms and policies.
